Affiliate Program Terms

These Affiliate Program Terms (the "Terms") govern your participation as an affiliate ("Affiliate," "you") in the Ray Rider Affiliate Program operated by Ray Rider ("Ray Rider," "we," "us"). By enrolling in the program and being approved, you agree to these Terms.
1. Appointment
We appoint you as a non-exclusive affiliate to promote Ray Rider products and refer prospective customers to Ray Rider, and you accept that appointment on these Terms. The appointment is non-exclusive: we may appoint other affiliates, run our own marketing, and sell directly.
2. Definitions
"Product" means the Ray Rider solar charging canopy for golf carts and any related products we offer.
"Referral Link" means the unique tracking link our affiliate platform issues to you, which directs people to a Ray Rider landing page and attributes resulting referrals to you.
"QR Code" means a scannable image that encodes your Referral Link. Scanning it opens your Referral Link in the scanning device's web browser. The QR Code and the Referral Link are the same tracking mechanism in two forms.
"Tracking Cookie" means the small file the affiliate platform places in a customer's web browser when that customer opens your Referral Link or scans your QR Code, used to attribute a later purchase to you.
"Qualified Sale" means a purchase of a Product by a customer who reached Ray Rider through your Referral Link or QR Code and was attributed to you by the affiliate platform, where (a) the sale closes, (b) Ray Rider receives full payment that is not refunded, and (c) the order is not cancelled or returned within any applicable refund or return period.
"Commission" means the referral fee payable to you for each Qualified Sale, as set out in Section 4.
3. Tracking and Attribution
3.1 Unique Referral Link and QR Code. We issue you a unique Referral Link and a QR Code that encodes it, both pointing to a Ray Rider landing page. You can place the QR Code on cards, signage, and social posts, share the Referral Link directly, or simply point people to it.
3.2 How attribution works, and its limits. Attribution is automatic and cookie-based. When a customer opens your Referral Link or scans your QR Code, the affiliate platform places a Tracking Cookie in that customer's web browser. If the customer then completes a purchase in the same browser on the same device, with cookies enabled and within the platform's tracking window, the sale is attributed to you. You do not need to register names or collect contact information about the people you refer.
Please understand these limits, which we do not control and cannot guarantee around:
- No cross-device tracking. If the customer scans on one device (for example, a phone) but buys on a different device (for example, a laptop), the sale is not attributed to you.
- Browser-dependent. Clearing or blocking cookies, or using private or incognito browsing, prevents attribution.
- Time-limited. A purchase completed after the platform's tracking window expires is not attributed.
- First click wins. If a customer opened more than one affiliate's link, credit goes to the first affiliate link opened.
3.3 Tracking only, no automatic discount. The Referral Link and QR Code are for tracking and attribution only. They do not by themselves give the customer any discount unless we separately offer one in writing; any such offer is applied through the same link and checkout.
3.4 System of record and dashboard. Our affiliate platform and its records are the authoritative record of referrals and Qualified Sales. You can view your own referrals, attributed sales, and earned Commissions in real time through the affiliate dashboard we provide.
3.5 No guarantee. We do not guarantee that any referral will result in a Qualified Sale or that any particular referral will be successfully tracked.
3.6 Enrollment. To participate, you enroll through our affiliate portal (sign in with an email and submit the affiliate application). We review and approve affiliate accounts, and issue your Referral Link and QR Code after approval.
4. Commission
4.1 Amount. We pay you $100 per Qualified Sale, unless a different rate is agreed with you in writing.
4.2 When earned and paid. A Commission is earned when a sale becomes a Qualified Sale (after any refund or return period closes and we have received full payment). We pay earned Commissions monthly, within 30 days after the end of the month in which the Commission was earned.
4.3 Payment method. We pay Commissions using the payment details you provide.
4.4 Adjusting the Commission. We may revisit and adjust the Commission over time. Any change must be communicated in writing (email is sufficient) and applies only to sales that occur after the change takes effect.
4.5 Reversals. If a sale is later refunded, cancelled, charged back, or returned after a Commission has been paid, we may recover or offset that Commission against future Commission payments, or invoice you for it. Your Commission balance in the affiliate platform may decrease to reflect such reversals.
4.6 No self-dealing or fraud. No Commission is payable on your own purchases or on referrals that are fraudulent, fake, or artificially generated. The platform blocks self-referrals where the checkout email matches your account email. We may withhold or void any Commission we reasonably believe resulted from such activity.
5. Term and Termination
5.1 Month-to-month. Your participation is month-to-month and renews automatically each month until either of us ends it.
5.2 Termination. Either of us may end your participation at any time, with or without cause, by written notice (including email).
5.3 Tail period. After termination, we will keep your Referral Link and QR Code active for three (3) months (the "Tail Period") by keeping your affiliate account active. Qualified Sales attributed to you during the Tail Period remain payable on the same terms.
5.4 Deactivation. At the end of the Tail Period, we will deactivate your attribution by removing or disabling your account in the affiliate platform. After that, your Referral Link and QR Code will no longer attribute referrals or earn Commissions. A printed QR Code or previously shared link may still open the landing page, but it will not credit you. You must stop distributing the QR Code and any materials that carry it, and remove it from circulation where you reasonably can.
5.5 Final payment. We will pay any Commissions earned through the end of the Tail Period in the next regular monthly payment cycle after the Tail Period ends.
6. Use of the Referral Link, QR Code, Brand, and Materials
6.1 Limited license. During your participation and the Tail Period, we grant you a limited, non-exclusive, non-transferable, revocable license to use Ray Rider's name, logo, your Referral Link and QR Code, and approved marketing materials solely to promote the Product under these Terms.
6.2 Restrictions. You will not: (a) alter or obscure the QR Code or Referral Link; (b) distribute them mainly to harvest discounts or spread them indiscriminately rather than to promote the Product in good faith; (c) use our marks in any false, misleading, or disparaging way; or (d) bid on our trademarks in paid search or register confusingly similar domains or social handles.
6.3 End of license. When the Tail Period ends, this license ends. You will stop using the Referral Link, QR Code, and our marks and materials.
7. Affiliate Conduct
- Promote the Product honestly and accurately, and do not make false or misleading claims about the Product, its performance, or its safety.
- Do not promise pricing, discounts, warranties, or terms that we have not authorized in writing.
- Disclose the connection. Because you earn a Commission, clearly and conspicuously disclose your financial relationship with Ray Rider when promoting the Product, consistent with U.S. Federal Trade Commission guidance.
- Comply with all applicable laws, including marketing, email, and text-messaging laws, and the rules of any platform you use.
8. Independent Contractor
You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship. You have no authority to bind Ray Rider. You are responsible for your own taxes, and we may issue a Form 1099 if required.
9. No Guarantee of Volume or Income
We do not guarantee any minimum number of sales, minimum earnings, or particular result. Your earnings depend entirely on the Qualified Sales you generate.
10. Confidentiality
You may receive non-public information from us (such as pricing, referral data, and business plans). You will use it only to participate in the program and will not disclose it to others, except as required by law. This obligation continues for two (2) years after your participation ends.
11. Limitation of Liability
To the fullest extent permitted by law, neither party is liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits. Except for your indemnification obligations and either party's breach of confidentiality, each party's total liability under these Terms will not exceed the total Commissions paid or payable in the six (6) months before the event giving rise to the claim.
12. Indemnification
You will indemnify, defend, and hold harmless Ray Rider and its owners, members, managers, officers, employees, and agents from any third-party claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of your promotion of the Product, your statements, or your breach of these Terms, except to the extent caused by Ray Rider's gross negligence or willful misconduct.
13. General
13.1 Governing law. These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Georgia.
13.2 Changes to these Terms. We may update these Terms from time to time. Material changes will be communicated to active affiliates; continued participation after a change means you accept the updated Terms.
13.3 Severability. If any provision is held unenforceable, the rest stays in effect.
13.4 Assignment. You may not assign these Terms without our prior written consent. We may assign them freely.
13.5 Notices. Notices may be given by email to the address associated with your affiliate account and are effective when sent, absent a bounce or delivery failure.
Acceptance
By enrolling in and participating in the Ray Rider Affiliate Program, you acknowledge that you have read and agree to these Affiliate Program Terms.
